Supplemental Terms for Zenzy Rewards

The following terms and conditions for Zenzy reward program (“Zenzy Rewards T&Cs”) are specific to accessing various offers on the Rewards section on the Zenzy App (“Zenzy Store”) or any other rewards / referral programs or offers anywhere on the Zenzy App. All Users accessing Zenzy Rewards shall be deemed to have read, understood and agreed to be bound by these Zenzy Rewards T&Cs, in addition to and together with the general terms of use, privacy policy and any other policies or terms applicable to the Zenzy App as may be amended from time to time.
A. Participation in the Rewards Section
a. Rewards may be of various types including but not limited to Mystery Rewards, Jackpot Rewards, Spin the Wheel Rewards, and Zenzy offer unlock rewards (“Reward Promotions”), and Zenzy reserves the right, at its sole and absolute discretion, to introduce, modify, suspend, restrict or discontinue any Reward Promotion, in whole or in part, at any time without prior notice to any User.
b. Zenzy awards each User with pre-designated number of loyalty points (“Coins”) for their regular and continuous use of the Zenzy App. The Coins awarded to the User are at the sole discretion of Zenzy, and Zenzy may at any time change the rate at which Coins are awarded, the criteria for the award of Coins, and the purposes for which Coins may be redeemed, without any obligation to provide notice to the User.
c. Users can participate in any Reward Promotion only by using the Coins awarded to them by Zenzy. Coins are promotional in nature, are not legal tender or currency, are not a stored value or payment instrument, and do not represent any right, title or interest of a monetary nature in favour of any User. Coins have no cash or monetary value, cannot be encashed, refunded, sold, bartered, assigned or transferred (whether for value or otherwise) to any other account, person or entity, and may be used solely in the manner and for the duration permitted by Zenzy in its sole discretion.
d. Zenzy does not permit any User to purchase any Coins using real world money, to enter the Reward Promotions. None of the reward promotions include betting or wagering of real- world money, and no consideration in the nature of money or money’s worth is required or permitted to be staked by Users in order to participate in any Reward Promotion.
e. Participation in any Reward Promotion is completely voluntary. Users may choose to not participate in any Reward Promotion. Zenzy does not guarantee any prize to any winner, and the availability, quantity, nature and value of any prize shall at all times be subject to change, substitution or withdrawal at the sole discretion of Zenzy.
f. Users must not participate in the Reward Promotions if they are specifically prohibited from participating by state, municipal or other local area body laws from participating in such promotions or if such Reward Promotions are not permitted to be offered within such jurisdictions. Each User is solely responsible for ensuring that their participation is lawful in the relevant jurisdiction and for obtaining any necessary permissions, consents or approvals.
g. Without prejudice to any other rights of Zenzy, Zenzy shall be entitled, in its sole discretion, to (i) disqualify any User from any Reward Promotion, (ii) invalidate, cancel, withhold or forfeit any Coins and/or prize, and/or (iii) suspend, restrict, deactivate or terminate any User account, where Zenzy has reason to believe that such User has violated these Zenzy Rewards T&Cs, the terms of use of the Zenzy App, any applicable law, or has engaged in any fraudulent, abusive, unethical, manipulative or suspicious activity (including but not limited to multiple account creation, use of automated tools or scripts, or exploitation of any error or bug in the Zenzy App).
h. Zenzy shall not be liable for any delay, loss, error, failure or inability to credit or debit Coins, display Rewards or complete any Reward Promotion arising from any technical or operational issue, including without limitation any server failure, system error, network outage, connectivity problem, bug or other malfunction relating to the Zenzy App or any third-party system. In the event of any such issue, Zenzy reserves the right to rescind, reverse or adjust any Coins or Reward Promotions that were affected.
i. Zenzy may, at its discretion, specify validity periods for Coins and/or Reward Promotions. Upon expiry of the relevant validity period, all unutilised Coins and/or unclaimed or unredeemed rewards shall automatically lapse and be forfeited without any liability or obligation on Zenzy to notify the User or provide any compensation.
B. Prizes
a. The prizes for a Reward Promotion may be given by Zenzy and /or by Zenzy’s commercial partners (“Commercial Partners”) to the registered Users of the Zenzy App, and Zenzy shall have no obligation to offer any particular prize to any User unless and until such prize has been expressly confirmed by Zenzy to such User in writing or on the Zenzy App interface, subject always to these Zenzy Rewards T&Cs.
b. The Users may be required to create an account / register / sign up etc on a Commercial Partner’s website, app or physical location to avail full benefit of the prizes offered, and such Users shall be solely responsible for complying with the applicable terms and conditions, policies and requirements of such Commercial Partner.
c. Some prizes may be available only in specified geographies or for specified time duration, and may be subject to additional eligibility criteria, blackout dates, quotas, stock availability or other limitations imposed by Zenzy and/or the relevant Commercial Partner. Zenzy shall not be responsible in the event a prize becomes unavailable or cannot be fulfilled for any reason, and may, but shall not be obliged to, provide a substitute prize of equal or lesser value.
d. Zenzy may at its sole discretion require users to provide PAN, proof of identity and proof of residence before confirming a User as the winner, and may require Users to furnish such additional information, documentation and declarations (including any tax-related forms) as Zenzy may deem necessary or desirable for verification, compliance or audit purposes. Failure to provide such information to the satisfaction of Zenzy within the timelines specified by Zenzy may result in disqualification and forfeiture of the prize.
e. Zenzy may at its discretion require a user to agree to feature in Zenzy’s advertisement or promotional / marketing material as a condition for receiving the prize in a Reward Promotion, including without limitation the use of the User’s name, likeness, photograph, voice, statements and/or any biographical information in any media, worldwide, for any lawful purpose, without any further compensation, consideration or notice, to the extent permitted by applicable law.
f. Any dispute, claim or issue relating to the quality, condition, merchantability, fitness, safety, suitability, performance, delivery or after-sales service of any prize supplied or fulfilled in whole or in part by a Commercial Partner shall be solely between the User and such Commercial Partner. Zenzy does not endorse, control or guarantee any products or services provided by Commercial Partners and shall not be liable in respect thereof.
C. Disclaimers
a. The Reward Promotions are offered to the Users on an “as is” basis and without warranty or condition. The Reward Promotions may not be uninterrupted or error-free. Users waive all claims against Zenzy in connection with or arising out of the Reward Promotions, the Coins, any prizes or any access to or use of the Zenzy App, to the maximum extent permitted by applicable law. To the fullest extent permitted by law, Zenzy expressly disclaims all warranties of any kind, whether express, implied, statutory or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy or completeness.
b. Selection of the winner by Zenzy shall be final, binding and not subject to any dispute settlement procedures, and Users hereby expressly waive any right to challenge, question or seek review of any decision of Zenzy in relation to the conduct or outcome of any Reward Promotion, except where such waiver is prohibited by applicable law.
c. Where the rewards are in the nature of coupons or vouchers, the Users must contact the Commercial Partner offering the coupon or voucher for any customer support or queries, and Zenzy shall not be responsible for honouring, extending, reissuing or reinstating any such coupons or vouchers once issued, nor for any refusal by the Commercial Partner to accept or honour such coupons or vouchers.
d. Zenzy reserves the right to deactivate or delete the User account, all related information on it, and forfeit all Coins or related prizes from any User, in the event of misuse of the offer, fraud or suspicious transaction/activity on the Zenzy App or any other Zenzy Platform, or any violation of these Zenzy Rewards T&Cs, the general terms of use or any applicable law. Zenzy’s determination of the existence of misuse, fraud or suspicious activity shall be conclusive and binding on the User.
e. Zenzy is not responsible for any tax implications on the User from their participation in any Reward Promotion. Users should obtain an independent tax advice before entering any Reward Promotion, and shall be solely responsible for payment of all applicable taxes, duties, levies, cess or other charges arising out of or in connection with any prize or benefit received by them. Zenzy may, if so required by applicable law, deduct or withhold any tax at source from the value of any prize and may require Users to furnish such information or documentation as is necessary for such deduction or withholding.
f. Participant can participate in the Rewards in compliance with the Applicable laws. It is the Participant’s responsibility to ensure that he/she is not participating in any gaming or contests performed under the Reward section from a Restricted Territory. Restricted Territory shall include the state of Andhra Pradesh and/or Nagaland and/or any other state from where you cannot participate in any contest or Rewards pursuant to applicable laws in the relevant state (“Restricted Territory”). Zenzy may, in its discretion, use geo-location or other technologies to restrict access to the Rewards from any Restricted Territory; however, the responsibility to comply with applicable laws shall rest solely with the Participant, and Zenzy shall not be liable for any consequences of any non-compliance by the Participant.
g. To the maximum extent permitted by applicable law, in no event shall Zenzy (including its affiliates, directors, officers, employees and agents) be liable to any User for any indirect, incidental, consequential, special, punitive or exemplary damages, or for any loss of profits, data, business, goodwill or opportunity, arising out of or in connection with the Reward Promotions, the Coins, any prize or the use of or inability to use the Zenzy App, whether based on contract, tort (including negligence) or otherwise, even if Zenzy has been advised of the possibility of such damages. To the extent Zenzy is held liable notwithstanding the foregoing, the aggregate liability of Zenzy to any User in respect of all claims arising out of or in connection with these Zenzy Rewards T&Cs shall be limited to the value of the prize actually received by such User in the relevant Reward Promotion.
D. General Terms
General Terms: By participating, the Participants agree to these terms and any additional terms communicated by Zenzy. Zenzy shall have the right to determine and/or modify the number of winners as well as the nature of prizes to be given to the winner(s). Zenzy makes no representations or warranties regarding the quality, condition or suitability of the prizes nor is Zenzy responsible for any warranty or service issues with respect to the prizes won (as applicable). The prize(s) are non-transferable and cannot be exchanged for other prizes or cash. Zenzy shall have the right at its sole discretion, to provide and/or revoke access to the Referral Reward Program to any select group of Zenzy members. Zenzy shall not be responsible for any technical issues or interruptions from the Participant’s end that adversely affect their participation. Zenzy reserves the right to discontinue or suspend the Reward Program at any time. Zenzy shall not be liable for any loss, damage, or injury arising from participation or prize acceptance. All decisions by Zenzy are final, binding and not subject to any dispute settlement procedures. If Zenzy cannot contact a Participant within a reasonable time according to Zenzy or if the Participant does not cooperate with Zenzy, Zenzy has the right to deny any prize offered to such Participant. Zenzy reserves the right to modify these terms and conditions and the prize(s) at any time, including prospectively with respect to Coins already accrued but not yet redeemed, to the extent permitted by applicable law.
In the event of any conflict or inconsistency between these Zenzy Rewards T&Cs and any other terms, conditions or policies applicable to the Zenzy App, these Zenzy Rewards T&Cs shall prevail in relation to the Reward Promotions only. If any provision of these Zenzy Rewards T&Cs is held to be invalid, illegal or unenforceable by a competent authority, such provision shall be deemed severed to the extent of such invalidity, illegality or unenforceability, and the remaining provisions shall remain in full force and effect.
